In the case, the Tax Court held that Miami National Bank could file a consolidated tax return with its parent company, Data Lease. Data Lease had executed an agreement to acquire 80.2% of the shares of Miami National Bank. Roughly 3% of these shares were not immediately transferred to Data Lease by one of the sellers because the shares were held in a restricted account. The Tax Court held that the seller beneficially owned the shares held in the restricted account and that the seller had transferred the beneficial ownership at the time of executing the agreement, even though legal title to the shares was not transferred to Data Lease until several years later.
